The Statute of the Serbian Public Health Association

Based on the acts 21st and 30th within the Law of the Social Organizations and Citizens Associations (“Public service journal, number 24/82, 39/83, 17/84, 50/84, 45/85 and 12/89) and the decision about foundation, the Assembly of the Serbian Public Health Association on the meeting held on the 28th of October 2003, establishes

 THE STATUTE

 OF THE SERBIAN PUBLIC HEALTH ASSOCIATION

  1. Introductory acts

 Act 1

 The statute of The Serbian Public Health Association defines the following issues: aims and tasks of the Association, form of merging, name and where it is seated, membership and completion of the same, rights, obligations and responsibilities of the members, as well as other questions of importance for organization, work and acts of the Association.

 Act 2

The Serbian Public Health Association is nongovernmental, non-profit organization of interested individuals of different professions, who accept the aims and the tasks determined by this Statute.

 Act 3

The Association is a citizens association with the full name “Udruzenje za Javno Zdravlje Srbije (the abbreviation is UJZS).

The name of Association in English language is: The Serbian Public Health Association (the abbreviation is SPHA).

 Act 4

The Serbian Public Health Association (in further text only “the Association”) is a legal entity with all rights, responsibilities and obligations, which are determinate by the Law and by this Statute, seated in Belgrade with address Bacvancka street bb, “Medifarm” building. There is a possibility for establishment of branches seated in other towns in Republic of Serbia, which are organizational parts of the Association.

 Act 5

The Association has its own stamp of oval shape with the name of the Association on it, as well as its own memorandum, in which header are the name and the address of the Association.

Act 6

The name of the Association and the abbreviation are supported with a drawing-symbol of the Association, which can be used as the logo of the Association, if the Association’s assembly gives its approval for it.

Logo has oval shape with diameter of 3 cm. Background of the circle is white while the circle line on its inside has figurative drawing of individuals standing in the circle and holding hands, symbolizing partnership or gathered community. Clothes of the figures are in light blue color, while heads are in orange color. Outside of the circle line, name of the Association is written, so that letters complete the circle. Name of the Association is written in Latin and/or Cyrillic letters.     

 Act 7

The President of the Association’s assembly, who is at the same time the President of the Association, represents the Association and in case of his/her absence that role belongs to the vice president.

 Act 8

The Association is represented by the President of the Executive Board. President may give his/her authorities to the other individuals, by giving power of attorney. The power of attorney has to be always given in a written form, describing content and capacity of authorization, as well as duration and it cannot be transferred to third parties.

 2. The aims and the tasks

 Act 9

The main aim of the SERBIAN PUBLIC HEALTH ASSOCIATION, as non-profit organization is protection, improvement and promotion of health of the Serbian population in whole, as well as of respective population groups or local communities (everything that is implied by the term “PUBLIC HEALTH”), through implementation of certain activities within the frame of health sector, but at the same time activities which are not in the frame of the health sector.

Also one of the main tasks of Association is improvement of knowledge and rising awareness on all levels, that health promotion and protection of health, is not task only of the health system, but this is also task of different sectors of public economy, industry, education, social and communal services etc., as well as responsibility of each individual. Intersectional and multidisciplinary approach for work in area of public health is of the key importance.  

Taking this into account the Association will have the following tasks:

  • • Strengthening the capacity of the community to improve and protect the health of the community members, through joint activities and interventions
  • • Creating and supporting local initiative focused on saving living and working environment, both in physical and social sense
  •  • Preparing and implementing intervention projects and activities in order to improve public health

In order to accomplish above mentioned tasks, the Association will implement following activities:

Organization of workshops, meetings of experts and other forms of gathering related to the current public health issues in order to discuss possible measures and activities for addressing them (e.g. health risk factors: smoking, abuse of alcohol, drug abuse, environmental factors which are harmful for the health, spreading of AIDS etc.)

Everyone who can contribute to the solving of the problems will be invited to the workshops, e.g. health workers, legal representatives working on legislation changes, representatives of national security bodies, representatives of communal services etc.

Initiation of concrete activities in the city, local communities, working places and/or health institutions in order to deal with different public health issues e.g. smoking, drug abuse, contaminated environment, respecting intersectional and multidisciplinary approach (everyone will give contribution in their domain to solve the problem)

Informing media about most important problems and ensuring their support in following initiated activities

Publishing of the newsletter with information on most important public health issues and meetings of experts organized in order to address these issues.

Ensuring cooperation with World and European Association for Public Health

Development of public center for public health with library, magazines, promotional material etc

Development of data base with contact information of all members of Public Health Association of Serbia and its regular up-date

Organizing meetings on regular basis, conferences and round tables, independently or jointly with other similar associations in order to exchange information, develop partnerships and acting jointly.

Publishing manuals, leaflets, posters and other promotional materials independently or jointly with similar associations.

3. Organization membership

Act 10

Once official decision of founding of the Association is signed by at least 10 citizens on joint meeting, the Association is legally founded. Other legal documents are also to be submitted: the claim for entering into the register of citizens associations, the legal Decision of founding of the Association, the report from the Founding Assembly and the Statute (in two copies).

 Act 11

The Association counts members, who can be: active, joined- by invitation and the honorable members.

Act 12

Members of the Association can be only these individuals, who are in agreement with the Statute of the Association. New members are obligated to sign an official statement that they accept all rights, obligations and responsibilities, which are determined by the Statute of the Association. Membership in this Association can be completed on personal demand or through release by the Presidency of the Association.

Members of the Association pay their membership fee to the Association.

 Act 13

 Members of the Association have the following rights:

  • To select or to be selected in the bodies of the Association, to be delegated on behalf of the Association in bodies or organizations, which are engaged in public health work, both on the country and on international level.
  • To participate in the work of the Association, experts’ committees and working bodies in accordance with the Statute.
  • To be regularly and fully informed about the work of the Association and work of all of Association’s bodies.
  •  To create initiatives and projects related to the aims and tasks of the Association

and all other rights, which come out from the Law, the Statute and scope of the work of the Association.

 Act 14

 Obligations and responsibilities of members are:

  •  To act in accordance with all normative acts and decisions of the Association
  •  To accomplish thoroughly, professionally and in due time all tasks which they have accepted in the Association
  •  To keep the good reputation of the Association
  •  To work respecting the Constitution, the Law, the Statute and all moral and ethical principles of the Association
  •  To fulfill all other obligations and responsibilities, which come out of the Law and the Statute of the Association.

 4. Bodies of the Association

 Act 15

 The bodies of the Association are:

1. The Assembly

2.  The Presidency

3.  The Executive Board

4.  The Supervising Board

5.  The Secretariat

 The Assembly of the Association

Act 16

The Assembly is the highest body of the Association.

The Assembly is consisted of all members of the Association.

Act 17

The Assembly selects the Presidency, which counts seven members.

The mandate of the Presidency is four years.

The Presidency, among its’ members, selects the President and the Vice President. These are reelecting functions.

 Act 18

The Presidency decides about suggestions of the Statute alterations and additions, as well as on other general acts, proposed by the Assembly, establishes work plans and programs for development of the Association, monitors their implementation and when it is needed, suggests and conducts required measures.

 Act 19

The Presidency works and makes decisions on its meetings. The President calls for and chairs these meetings, while in his/her absence this will be done by the Vice President.

The Presidency has the full legality to work when two thirds of all members are present at the meeting, while decisions are made by the majority.

 Act 20

The Presidency submits to the Assembly an annual report on the work and acts of the Association.

For its work the Presidency is directly responsible to the Assembly.

 Act 21

The President of the Presidency is the President of the Assembly at the same time and s/he leads the work of the Assembly.

Act 22

The work and acts of the Association’s Assembly are public. The Association informs the public about its work through the mass media. The Presidency of the Assembly and the members of the Executive Board are responsible for informing the public about work of the Association.

 

Act 23

 The Assembly fulfills the following tasks:

 Based on proposal of the Presidency, Assembly accepts the work plans and plans for development of Association and monitors their implementation.

 Selects and releases the Presidency of the Assembly, the Executive Board and the Supervising Board.

 Decides upon Association becoming member of national and international organizations, delegates the Association’s representatives, decides upon requests, objections, complains and completion of the work of the Association

Adopts all normative acts of the Association, alterations and additions of the Statute, Bylaw of the Assembly and other necessary acts, as well.

 Act 24

 

Meetings of the Assembly are based on regular basis and based on need.

Regular meetings of the Assembly are to be held at least once a year upon the call of the President of the Assembly.

Exceptional meetings are to be held on a request of the President of the Assembly, the President of the Executive Board, or the President of the Supervising Board.

 Act 25

 The Assembly makes decisions by the majority of present members of the Assembly.

Act 26

Bylaw of the Assembly including regulations on Assembly’s work, process of adoption of agenda, ways of decision making and other activities will be adopted on the first regular meeting of the Association’s Assembly.

 The Executive Board

Act 27

 The Assembly selects the Executive Board, consisted of nine members.

 The Executive Board has:

• The President

• The Vice President

• The Secretary and six members

 Act 28

The Executive board is selected every four years. In a case of release from work of any member of the Executive Board, a new member can be selected on a regular or on an exceptional meeting of the Association’s Assembly.

 Act 29

 The Executive board has the following tasks:

  •  • Implements plans and programs, adopted by the Association’s Assembly
  • •  When necessary, selects the members for Experts’ committees chaired by nominated members of the Association
  •  Prepares the material for the work of the Assembly
  •  Makes and introduces the decisions on the use and distribution of all resources of the Association based on plans for material-financial resources.
  •  Honors with specific acknowledgments individuals and organizations for extraordinary activities within the area of public health.

 Act 30

The Executive Board works and makes decisions on meetings, where presence of majority of its members is required.

The President calls for and chairs the meetings. In case of his/her absence this will be taken over by the Vice President.

The Executive Board works and makes decisions with the majority of present members.

 Act 31

 The Executive Board reports about its work to the Assembly on regular meetings.

 Act 32


The Executive Board’s work is supervised by its President, who signs all acts related to the work of the Executive Board.

The President of the Executive Board has the right to sign all documents related to the material-financial resources.

 Act 33

The Supervising Board

 The Supervising Board consists of three members.

The duration of the mandate of the Supervising Board is four years.

Act 34

The Supervising Board has the following tasks:

  •  • Controls management of all material and financial resource of the Association
  • •Follows use of the Statute, normative acts and their accordance with the Constitution and related Laws
  • Follows all other supervising work

 Act 35

 The Supervising Board works and makes decisions on meetings.

The President calls for and chairs these meetings, while in a case of his/her absence, this is taken over by the Vice President.

The Supervising Board works and makes decisions with the majority of the present members.

 Act 36

Secretariat

 The Secretariat has up to seven members.

The Secretariat is operational body named by the Presidency, which through its direct activities supports, implements and transfers into the practice, programs and plans of the Association.

 Activities of the Secretariat are the following:

  • • Prepares and organizes the meetings of the Bodies of the Association in coordination with the President and Secretary
  • Prepares the press releases based on requests from the Bodies of the Association
  •  Organizes meetings with representatives of the local community, local authorities, other non-governmental organizations, based on request from the President
  •  Organizes activities and interventions/ manifestations in local community (ensuring authorization for public gathering etc)  
  •  Other related work based on request from the Presidency and/or Bodies of the Association

 Act 37

 

The Association is allowed to form an administrative-logistical service, with appropriate number of members and/or to employ Program manager.  

Terms of reference, required qualifications and authorizations are assigned by the Executive Board of the Association.

Act 38

 The material and financial resources of the Association

 In order to achieve its goals and fulfill its tasks in its work the Association gathers the material and financial resources from:

  •  • Membership fees
  • • Voluntary contributions, gifts and legacies
  • • Through organization of national and international public health campaigns and actions
  • • Through other activities which are in accordance with the normative acts of the Association

Act 39

 Resources distribution is made according to the plan of material and financial resources, which is adopted by the Executive Board of the Association and is adopted by the Assembly.

The Executive Board of the Association adopts the final fiscal report with report on management of material-financial resources, after which it is adopted by the Assembly.

 

5. Completion of the work of the Association

 Act 40

The Association’s work completes:

  • • by the decision of the Assembly
  • • if work of the Association is banned by the amenable Legal bodies
  • •if the Association does not fulfill its work according to its aims and tasks for period longer than one year.

The decision for completion of the work of the Association is made by the Association’s Assembly in the same manner as other decisions are made and in accordance with 25th act of this Statute, based on proposal of the Executive Board.

Within the decision of completion of the Association’s work, the manner in which resources and archive of the Association will be disposed is defined, while the assets will be transferred to the Red Cross of Serbia.

 6. Alternations and additions of the Statute

 

Act 41

The Presidency of the Assembly, the Executive Board and at least ten members of the Association could suggest alternations and additions to the Statute.

 Act 42

Alternations and additions could be made on regular meetings of the Association’s Assembly, or based on need, on exceptional meetings of Association’s Assembly.

 7. Transitive and final acts

Act 43

The Bodies of the Association will be constituted and will create all necessary normative acts within the 30 days from the beginning of validity of this Statute.

The Statute is valid from day of its adoption and will be applied by the day of registration of this Statute at the amenable legal body.
